Ingersoll Rand seeks to hire an attorney with 10 years combined legal and technical experience, including (1) at least 5 years patent/IP transactional or licensing management experiences particularly in inventor-facing and strategy-oriented aspects involving domestic and international relations, joint ventures, partnered-investments, M&A, technology roadmaps and open innovation; (2) at least 3 years direct involvement in IP-related negotiations with clients and adverse situations with business impact; (3) at least 5 years advising on and attending to contracts, licensing, technology agreements, etc.; and (4) preferably at least 3 years as a legal counsel lead for a significant business having complex technology relations with significant others, such as in a diversified, global manufacturing environment.
This Position can be located in either Ingersoll Rand?s Davidson, NC or Carmel, IN locations.
Primary Accountabilities:
Lead, develop and manage IP transactions, risk mitigation strategies and policies, and associated functional excellence initiatives, each coordinated and aligned with our technology pursuits and IP strategies.
Lead and Manage the IP Transactions activities developing high-value well-mitigated contracts, terms, licenses, processes, policies, and assets that, as defined by the VP, are of quantity and quality in alignment with portfolio management and strategy objectives.
Provide IP solutions involving complex business, technical, and legal analysis achieving successful pathways for client?s business, technology, relations, and technology decisions, including sourcing and supply.
Lead and work within cross-functional teams to acquire, achieve and execute appropriate technology rights for product roadmaps, partners and suppliers, and new innovation efforts.
Lead and manage IP licenses, relations and agreements with others, third party relations and inquiries, publications, as well as develop strategic pathways for future growth and opportunity aligned with the business objectives.
Prepare, prosecute, and negotiate associated transactions documents to develop policy portfolios of value protecting IR?s products, services, and strategic innovation objectives, as assigned.
Provide focused legal advice and guidance on technology, IP and innovation matters involving contracts, joint development agreements, non-disclosure agreements, strategic alliances, etc.
Lead and Manage educational sessions, invention creation initiatives and attend to all details in the IP transactions, confidentiality matters, licensing, etc., and activities as may be assigned.
Provide support to cross-functional teams involving business deals, working with third parties, open innovation, joint ventures, M&A, competitive IP assessment, IP transactional needs, and matters involving licensing, litigation, or enforcement.
Provide leadership, mentoring and authentic counsel to other team members.
Support IP clearances, Innovation On-Demand projects, IP risk issues, IP strategies, competitive IP assessment analysis, 3rd party technology opportunities and partner/supplier assessment.
Be a key member of highly-visible cross-functional project teams where members are often indirect and time pressures are compressed.
Provide strategy, guidance and alternative creative approaches to innovation leaders and technologists in leveraging technology, charting next generation technologies, and identifying opportunities to improve competitive advantage through IP opportunities.
Be an active lean/six sigma leader and mentor across the organization.
Must possess an accredited Juris Doctor (JD) with a familiar emphasis in IP dealings and transactions; and have active admissions to at least one state bar ? required.
